We wish to inform you that a meeting of the Board of Directors of our Company was held on MONDAY, the 5TH MAY 2025, wherein the following matters were considered and approved:\r\n\r\n1. The Audited Financial Results for the quarter and year ended 31ST MARCH 2025 were considered and approved. An authenticated copy of the results is enclosed.\r\n2. The Audit Report for the year ended 31ST MARCH 2025 in the format prescribed under SEBI (LODR) Regulations, 2015 is enclosed.\r\n3. Declaration under Regulation 33(3)(d) of SEBI (LODR) Regulations, 2015 is also enclosed.\r\n4. The Board of Directors has recommended a dividend of Re.1/- per Equity Share of Rs.10 each (i.e., constituting about 10% of the fully paid up value of Rs.10 per Equity share) to be declared by shareholders at the ensuing 30th AGM tentatively scheduled to be held tentatively on 29TH SEPTEMBER 2025.
